The Consumers’ Waterheater Income Fund And The Consumers’ Waterheater Operating Trust Announce Offering by the Trust of an Aggregate of $240,000,000 Principal Amount of Senior Unsecured Notes

TORONTO, ONTARIO–(Marketwire – Feb. 11, 2010) – The Consumers' Waterheater Income Fund (the "Fund") (TSX:CWI.UN) and The Consumers' Waterheater Operating Trust (the "Trust") today announced that the Trust has entered into an underwriting agreement relating to the offering of $240 million aggregate principal amount of 5.25% Series 2010-1 Senior Unsecured Notes due March 15, 2013 (the "Senior Notes"). The Senior Notes will be offered under a prospectus supplement to the Trust's short form base shelf prospectus dated March 19, 2008. The prospectus supplement will be filed with the securities regulatory authorities in each of the provinces of Canada. The Senior Notes are being offered on an underwritten basis by a syndicate of underwriters led by TD Securities Inc., and including Scotia Capital Inc., Desjardins Securities Inc. and HSBC Securities (Canada) Inc. The offering is expected to close on or about February 19, 2010 and the proc eeds will be used to repay the Trust's $240 million bridge credit facility. It is a condition of closing that the Senior Notes receive a rating of "A (negative)" from DBRS Limited and "A- (stable)" from Standard & Poor's Rating Services. The offering of the Senior Notes is only being made by way of prospectus.
